Welcome to BacktestGPT. By accessing or using our platform at backtestgpt.com ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Service Description

BacktestGPT is a data analysis and research tool that allows users to describe trading strategies in natural language, backtest them against historical market data, and view computed performance metrics. The Service is provided for informational and educational purposes only.

2. Not Financial Advice

BacktestGPT does not provide investment advice, financial planning, portfolio management, or trade execution services. BacktestGPT is not a registered investment advisor, broker-dealer, financial planner, or fiduciary. Nothing on this platform constitutes a recommendation or solicitation to buy, sell, or hold any security, financial product, or investment strategy.

All backtest results are based on historical data and are hypothetical in nature. Past performance does not guarantee future results. You should always consult a qualified financial professional before making any investment decisions.

3. Eligibility

You must be at least 18 years old to use the Service. By using BacktestGPT, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

4. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Use automated systems (bots, scrapers) to access the Service without written permission
  • Resell, redistribute, or sublicense access to the Service or its data
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or its related systems
  • Use the Service to generate content that is misleading, fraudulent, or deceptive

6. Subscriptions and Billing

Certain features of BacktestGPT require a paid subscription. By subscribing, you authorize us to charge your designated payment method on a recurring basis. Subscriptions auto-renew unless canceled before the renewal date. Refunds are handled on a case-by-case basis. You may cancel your subscription at any time through your account settings or the Stripe customer portal.

7. Intellectual Property

The Service, including its design, code, algorithms, text, graphics, and other content, is owned by BacktestGPT and protected by intellectual property laws. You retain ownership of your strategy descriptions and custom indicators. By publishing a strategy to the community Explore page, you grant other users a non-exclusive license to view and clone that strategy for personal use.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Backtest results may contain inaccuracies due to data quality, calculation methodology, or software errors. You acknowledge that backtests do not account for all real-world factors including market impact, liquidity constraints, execution delays, slippage beyond estimated values, tax implications, and survivorship bias.

10. Limitation of Liability

To the maximum extent permitted by law, BacktestGPT and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount you paid to us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless BacktestGPT from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
